Corporate Social Responsibility Agreement

随着经济和社会的进步,企业不仅要对赢利负责,而且要对环境负责,并承担相应的社会责任。为贯彻企业社会责任,“企业社会责任协议”(下称“本协议”)是在倡议商界遵守社会责任组织(Business Social Compliance Initiative,简称BSCI)发布的《行为守则》基础上,结合RBA (Responsible Business Alliance责任商业联盟)发布的《责任商业联盟行为准则》(Responsible Business Alliance)要求拟制的。本协议旨在建立并确保制造行业供应链提供安全的工作环境,工人获得尊重和尊严,并且企业在经营中承担环保责任并遵守道德规范。

本协议正文包含5个部分:第1-4条分别简述了有关劳工、健康与安全、环境以及商业道德的标准,第5条提供了如何遵从本协议的指导。经甲乙双方友好协商,签订本社会责任协议。甲乙双方应严格遵守本协议书规定的权利和义务。

第一条、甲方的权利和义务

1、当双方签署了本协议,即视作双方均公开支持《行为守则》及《行为准则》的基本守则,并且在各自的组织中部署及实施相关的要求;

2、在做出合理通知的前提下,甲方保留就乙方执行CSR的情况进行审核的权利。

第二条、乙方的权利和义务

1.劳工 

乙方承诺按照国际社会公认准则维护员工人权,并给予其尊严和尊重。此规定适用于所有员工,包括临时工、移民、学徒、合同工、直接雇员和任何其他类型的员工。

1.1自由择业 

不得雇佣被强迫、抵押(包括抵债劳役)或用契约束缚的劳工、非自愿的狱中劳工、奴隶或被贩卖人口。 包括不得通过威胁、强迫、强制、诱拐或欺骗方式运送、窝藏、招聘、转移或接收此类劳工或服务。除了禁止对进出办公场所进行不合理限制以外,还不得对员工在工作场所中的行动自由设置不合理限制。所有工作必须是自愿的,员工应有自由随时离开工作岗位或终止雇佣的权利。雇主及代理不得保留或以其他方式损毁、隐匿、没收或拒绝员工查看本人的身份或移民文件,例如政府颁发的身份证明、护照或工作许可,除非依据法律要求必须保留工作许可。员工不得被要求向雇主或代理支付金额超过其一(1)个月工资的招聘费或其他费用。必须披露向员工收取的任何费用,且金额超过一(1)个月工资的部分必须返还给员工。 

1.2 童工和未成年工 

1)在制造或服务的任何阶段均不得使用童工。

“童工”的定义:未满十六周岁的人。 

2)支持采用遵守所有法律法规的合法工作场所学徒计划。年龄低于十八(18)岁的员工(未成年工) 不得从事可能危及健康或安全的工作,包括夜班和加班。乙方应为所有学徒工提供适当的支持和培训。学徒工和实习生的工资至少应符合当地法律规定。

1.3工作时间 

加班工作应出于员工个人自愿,周工时不得超过当地法律规定的最大限度。而且,除非遇到紧急或异常情况,一周的工作时间包括加班在内不得超过六十个小时。员工每七天至少休息一天。

1.4薪资福利 

向员工支付的报酬应符合所有适用的薪资法律,包括有关最低薪资、加班时间及法定福利的法律。根据当地法律,员工的加班报酬应高于正常的每小时工资水平。禁止以扣减工资作为纪律处分手段。在每个工资结算周期,应及时向员工提供清晰易懂的工资单,有足够的信息来确认付出的劳动所应得的准确报 酬。应按照当地法律的限制规定聘用临时工、派遣员工和外包劳工。 

1.5人道待遇 

不得对员工实施性骚扰、性虐待、体罚、精神或肉体胁迫或言语侮辱等严苛的非人道待遇;亦不得威胁实施此类行为。支持这些要求的纪律处分政策和程序应清楚地界定并传达给员工。

1.6非歧视 

乙方应承诺员工免受骚扰以及非法歧视。公司不得因人种、肤色、年龄、性别、性取向、性别认同和性别表现、种族或民族、残疾、怀孕、宗教信仰、政治派别、社团成员身份、受保护的退伍军人身份、 受保护的基因信息或婚姻状况在发放工资、升迁、奖励、培训机会等聘用或雇佣行为中歧视员工。此外,不得要求员工或准员工接受可能带有歧视性目的的医疗测试或体检。 

1.7自由结社 

按照当地法律的要求,乙方应尊重所有员工自由结社及加入工会、集体谈判和参与和平集会的权利,并尊重员工不参加此类活动的权利。员工及其代表应能与管理层公开沟通和分享有关工作环境和管理实践的建议与意见,而无需担心歧视、报复、威胁或骚扰。

2.健康和安全

乙方应了解,除了尽量减少与工作相关的伤病事故以外,建立安全健康的工作环境可提高物料和服务质量,有利于促进生产、提高员工保留率并提升员工士气。乙方还应了解持续的员工投入和教育对于发现和解决工作场所中的健康与安全问题至关重要。 

鼓励乙方基于OHSAS18001要求实施健康安全管理体系,且其中至少包含以下要求: 

1) 开展并持续进行全面的风险评估; 

2) 制定适当的实施方案以降低风险; 

3) 制定健康安全计划,实施并跟进计划完成情况; 

4) 建立适当的系统和流程以监控任何不遵从行为; 

5) 任命高级管理者代表以确保为所有员工提供一个安全和健康的工作环境,并负责落实以上健康安全的要求。 

健康和安全标准如下:

2.1职业安全 

应通过正确的设计、工程和管理控制、预防性维护和安全工作流程(包括上锁/挂牌)以及持续的安全 培训来控制员工可能遇到的潜在安全危险(如电器和其他能源、火、车辆及坠落危险)。如果无法通过上述方式有效控制危险,应为员工提供适当的、保养良好的个人防护装备(Personal Protective Equipment, “PPE”)和有关上述危险可能导致风险的教育资料。应鼓励员工提出安全疑虑。 

2.2应急准备 

应识别并评估紧急情形和紧急事件,并通过实施应急方案及应对程序将其影响降到最低,包括:紧急报告、员工通知和撤离程序、员工训练与演习、适当的火灾侦测及扑灭设备、充足的出口设施和复原计划。 此类计划和程序应尽可能减少对人身、环境和财产的危害。 

2.3工伤和疾病 

应制定程序和体系以预防、管理、跟踪和报告工伤和疾病,包括以下规定:鼓励员工报告;对工伤和疾病案例进行分类和记录;提供必要的医疗服务;调查案例并采取纠正措施以消除影响;帮助员工重返工作。 

2.4工业卫生 

应鉴别、评估并控制由化学、生物及物理试剂给员工带来的影响。必须采取工程技术或管理手段来控制危险源过度暴露。无法通过这些方法有效控制危险源时,须通过适当的个人防护装备方案保护员工健康。 

2.5强体力型工作 

应鉴别、评估并控制从事强体力工作给员工带来的影响,包括人工搬运材料和重复提举重物、长时间站立、高度重复或强力的装配工作。

2.6机器防护 

应对生产设备和其他机械进行安全危害评估。应为可能导致员工受伤的机械提供物理防护装置、连锁装置及屏障,并正确进行维护。

2.7公共卫生、饮食和住宿 

应为员工提供干净的卫生间设施、饮用水及洁净的食物准备、储藏与用餐设施。乙方或劳工代理机构提供的员工宿舍应保持洁净安全,并提供适当的紧急出口、洗浴热水、充足的供暖和通风,以及合理的出入方便的私人空间。 

2.8 健康与安全沟通 

乙方应向员工提供以员工主要语言授课的适当的工作场所健康与安全培训。应在工作场所清晰张贴健康与安全相关信息。 

2.9物料和服务交付 

物料及服务的交付应符合健康安全风险预防的总原则。总原则包括,识别、减少和预防危害,使用有能力和训练有素的人员,提供并维护安全设备和工具,包括所需的个人防护用具。 

2.10绝对规则 

乙方应遵从以下规则,确保所有人员全面了解并遵从,同时监督其执行: 

1)高空作业 

a.除非经过适当的培训并取得相应资质,绝不从事任何高空作业; 

b.高空作业时始终穿戴适当的个人防护装备;

c.绝不在吊装物下行走或站立; 

d.高空作业时绝不抛掷工具或其他物品。 

2)驾驶作业 

a.驾驶或乘坐车辆时始终佩戴安全带; 

b.驾驶过程中绝不使用手提电话; 

c.绝不超速行驶; 

d.绝不疲劳驾驶。 

3) 酒精或药物 

绝不在酒精或药物影响下工作。 

4) 带电作业 

绝不在不具备相应资质的情况下从事带电作业。 

3.环境保护 

乙方应认识到环境责任是生产世界一流物料的重要部分。在制造作业中,应尽可能减少对社区、环境和自然资源的不利影响,同时保护公众的健康和安全。 环境标准如下: 

3.1环境许可与报告 

应获取、维护并更新所有必需的环境许可证(如排放监测)、批准文书及登记证,并遵守其关于运营和报告要求。

3.2环保设计 

乙方应确保采取恰当的措施以改善物料和服务的环境绩效,比如在设计阶段,考虑所供应物料及/或服务的能效和生命周期。乙方应采用创新的产品及服务,以提供社会和环境效益。

3.3预防污染和节约资源 

应在源头上或通过实践(如改进生产、维护和设施工艺,替换材料、节约资源、材料回收和再利用)减少和消除所有类型的资源耗费和污染(包括水和能源)。 

3.4有害物质 

应当识别和控制释放到环境中会造成危险的化学物质及其他材料,确保其得到安全处理、运输、存储、 使用、回收或再利用和处置。 

3.5废水与固体废物 

乙方应采取系统化的方法来鉴别、管理、减少和负责任地处置或回收固体废物(非有害物质)。作业 活动、工业流程和卫生设施产生的废水在排放或处置前,需按要求进行性质识别、监测、控制和处理。 此外,还应采取措施减少废水产生。乙方应对其废水处理系统性能进行常规监测。 

3.6废气排放 

经营过程中产生的挥发性有机化学物质、气溶胶、腐蚀物、粉尘、消耗臭氧层的化学品和燃烧副产物等 废气排放,需在排放前按要求进行性质识别、常规监测、控制及处理。乙方应对其废气排放控制系统 性能进行常规监测。 

3.7材料限制 

乙方应遵守所有关于禁止或限制在物料和制造过程中使用特定物质(包括有关回收和处置的标识)的适用法律法规和客户要求。 

3.8暴雨管理 

乙方应采取系统化的方法来预防暴雨径流污染。乙方应防止非法的排放和泄漏物质进入排水渠。 

3.9能源消耗和温室气体排放 

乙方应在工作场所及/或企业层面对能源消耗和温室气体排放进行跟踪和记录。乙方应寻求具有成本效益的方式以提高能源效率并尽可能减少能源消耗和温室气体排放。

4.商业道德 

为履行社会责任并确立市场成功地位,乙方应遵循最高标准的道德要求,包括: 

4.1诚信经营 

在所有商业活动中都应遵循最高的诚信标准。乙方应采取零容忍政策,禁止任何形式的贿赂、腐败、 敲诈勒索和挪用公款行为。所有业务交易均应确保透明并应在乙方业务账目和记录中准确反映。应推行监督和强化程序以确保符合反腐败法的要求。

4.2无不正当利益 

不得承诺、提供、授予、给予或接受贿赂或其他形式的不适当或不正当利益。禁止范围涵盖为获取或保留业务、将业务指派给任何人或以其他方式获取不正当利益,以直接方式或通过第三方的间接方式,承诺、提供、授予、给予或接受任何有价值物品。 

4.3知识产权 

应尊重知识产权;技术或经验知识的转让应以保护知识产权的方式进行;且应保护客户信息。 

4.4公平交易、广告和竞争 

应秉持公平交易、广告和竞争的标准。必须以适当的方式保护客户信息。 

4.5身份保护和无报复政策 

除非法律明令禁止,应制定程序以保护上游乙方和员工举报者并确保其身份的机密性和匿名性。乙方应制定沟通程序,让员工能够提出疑虑而无需担心遭到报复。 举报者:是指揭发某公司的某位员工或官员,或者某公务人员或官方机构的不当行为的任何人。 

4.6负责任的矿物采购 

乙方应制定政策以合理确保其制造物料中所含的钽、锡、钨和金不会以直接或间接的方式为刚果民主共和国或周边国家/地区中严重侵犯人权的武装团体提供资金或利益。乙方应对这些矿物的来源和产销监管链进行尽职调查,并按照客户要求向客户提供所采取的尽职调查措施。 

4.7反恐安全承诺

乙方承诺:1)对反恐安全制定书面制度,符合C-TPAT指引规定的安全程序;2)符合甲方规定的反恐安全要求;3)发现任何与反恐安全方面的问题,及时通知执法部门;4)积极配合执法部门和客户的监督管理活动,并及时纠正任何不符合项。

4.8隐私 

乙方应承诺保护所有业务相关人员,包括乙方、客户、消费者和员工的个人信息的合理隐私期望。 乙方在收集、存储、处理、传输和共享个人信息时应遵守隐私和信息安全法律及法规要求。 

5.管理体系要求 

乙方应采用或建立范围与本协议内容相关的管理体系。在设计该管理体系时,应确保:

1) 符合与乙方的经营及物料相关的法律、法规及客户要求;

2) 符合本协议以及识别并减低与本协议相关的经营风险。该体系还应推动持续改进。 

管理体系应包括以下要素: 

5.1公司承诺

企业社会和环境责任政策声明,应阐明乙方对合规和持续改进的承诺并由管理层签署,以当地语言印发并张贴于工作场所中。 

5.2管理责任 

乙方应明确指定由高层管理者和公司代表负责确保管理体系和相关方案的实施。高层管理者应定期审核管理体系状态。 

5.3法律要求与客户要求 

用以鉴别、监测和理解适用法律法规及客户要求(包括本协议的要求)的程序。

5.4风险评估与风险管理 

用以识别与乙方经营相关的法律遵从、环境、健康与安全,以及劳动实践和道德风险的程序。确定各风险的相对重要程度,实施适当的程序和实质控制措施,以控制已识别风险并确保合规。 环境健康与安全风险评估包括的区域有:仓库与仓储设施、工厂/工作场所支持设备、实验室与测试区、 卫生设施(浴室)、厨房/内部餐厅和员工住所/宿舍。 

5.5改进目标 

用于提高乙方社会和环境绩效的书面绩效目标、指标和实施计划,包括对乙方为达成这些目标所取得的绩效进行定期评估。 

5.6培训 

培训管理者和员工以实现乙方的政策、程序和改进目标并符合适用法律法规要求的计划。

5.7沟通 

用以向员工、上游乙方和客户清晰准确地传达有关乙方政策、实践、期望和绩效信息的程序。 

5.8员工反馈和参与 

评估员工对本协议中实践和条件的理解并获得反馈,以及促进持续改进的不间断程序。 

5.9审核与评估 

定期进行自我评定,确保符合与社会和环境责任相关的法律和法规要求、本协议中的内容以及客户合同要求。

5.10纠正行动程序 

用以及时纠正内部或外部评估、检查、调查及审核中发现的缺陷的程序。 

5.11文档和记录 

创建和维护文档和记录,确保遵从法规并符合公司要求和保护隐私的相关保密条款。 

5.12乙方责任 

建立用以向供应商传达本协议要求并监督其遵从情况的程序。

第三条:本协议一式贰份,甲乙双方各执壹份,自签订之日起生效。


With the progress of economy and society, enterprises should not only be responsible for profits, but also for the environment and bear corresponding social responsibilities. In order to implement corporate social responsibility, the "Corporate Social Responsibility Agreement" (hereinafter referred to as "the Agreement") is based on advocating the business community to abide by the Code of Conduct issued by the Business Social Compliance Initiative (BSCI), combined with the requirements of the Responsible Business Alliance issued by the Responsible Business Alliance. The purpose of this agreement is to establish and ensure that the supply chain of the manufacturing industry provides a safe working environment, workers are respected and dignified, and enterprises are responsible for environmental protection and abide by ethical standards in their operations.  

The text of this agreement consists of 5 parts: articles 1-4 briefly describe standards on labor, health and safety, environment and business ethics respectively, and article 5 provides guidance on how to comply with this agreement. This social responsibility agreement is signed between Party A and Party B after friendly negotiation. Both parties shall strictly abide by the rights and obligations stipulated in this agreement.

Article I. Rights and Obligations of Party A 

1. When both parties sign this agreement, it shall be deemed that both parties openly support basic rules of “Code of Conduct”and “Responsible Business Alliance”, and deploy and implement relevant requirements in their respective organizations. 

2. On the premise of giving a reasonable notice, Party A shall reserve the right to review the

implementation of CSR by Party B.

Article II. Rights and Obligations of Party B

1. Labor  

Party B promises to safeguard the human rights of employees and to treat them with dignity and respect in accordance with internationally recognized codes. This provision applies to all employees, including temporary workers, immigrants, apprentices, contract workers, direct employees and any other type of employees.

1.1 Free Choice of Employment  

No forced, mortgaged (including bonded labor) or indentured labor, involuntary prison labor, slaves or trafficked persons shall be employed. Including not transporting, harboring, recruiting, transferring or receiving such labor or services through threats, compulsion, coercion, abduction or deception. In addition to prohibiting unreasonable restrictions on entering and leaving the office, unreasonable restrictions shall not be imposed on the freedom of movement of employees in the workplace. All workers must be voluntary, free to leave their jobs or terminate their employment at any time. Employers and agents shall not retain or otherwise damage, conceal, confiscate or refuse employees to view their identity or immigration documents, such as government-issued identity certificates, passports or work permits, unless the work permit must be retained in accordance with legal requirements. Employees shall not be required to pay employers or agents recruitment fees or other expenses in excess of one (1) month's salary, any fees charged to employees must be disclosed, and the amount exceeding one (1) month's salary must be returned to employees.  

1.2 Child and Underage Labors

1) Child labor can’t be employed at any stage of manufacturing or service.

Definition of "child labor": a person under the age of 16.

2) Support the adoption of legal workplace apprenticeship programs that comply with all laws and regulations. Employees under the age of eighteen (18) (underage workers) shall not engage in any work that may endanger health or safety, including night shift and overtime working. Party B shall provide appropriate support and training for all apprentices. The salaries of apprentices and interns shall at least conform to the local laws.  

1.3 Working Hours 

Overtime work shall be done on a voluntary basis and the weekly working hours shall not exceed the maximum limit stipulated by local laws. In addition, the working hours of a week, including overtime, shall not exceed 60 hours unless there is an emergency or abnormal situation. Employees shall rest at least one day every seven days.  

1.4 Salary Benefits

The remuneration paid to employees shall comply with all applicable salary laws, including laws on minimum salary, overtime hours and statutory benefits. According to local laws, the overtime pay of employees should be higher than the normal hourly wage level. Deduction of wages is prohibited as a disciplinary measure. In each wage settlement cycle, employees should be provided with clear and understandable payrolls in time, and sufficient information should be provided to confirm the accurate remuneration for the labor paid. Temporary workers, dispatched workers and outsourced workers shall be employed in accordance with the restrictions of local laws.  

1.5 Humanitarian Treatment 

Employees shall not be subject to harsh and inhuman treatment such as sexual harassment, sexual abuse, physical punishment, mental or physical coercion or verbal insults. Nor shall such acts be used for threaten. Disciplinary policies and procedures supporting these requirements should be clearly defined and communicated to employees.

1.6 Non-discrimination

Party B shall be committed to a workforce free of harassment and unlawful discrimination. The company shall not engage in discrimination based on race, color, age, gender, sexual orientation, gender identity and expression, ethnicity or national origin, disability, pregnancy, religion, political affiliation, union membership, covered veteran status, protected genetic information or marital status in hiring and employment practices such as wages, promotions, rewards, and access to training. In addition, employees or potential employees shall not be subjected to medical tests or physical examination that could be used in a discriminatory way.

1.7 Freedom of Association

In accordance with local laws, Party B shall respect the right of all employees to form and join labor unions of their own choosing, to bargain collectively and to engage in peaceful assembly as well as respect the right of employees to refrain from such activities. Employees and their representatives shall be able to openly communicate and share ideas and concerns with management regarding working conditions and management practices without fear of discrimination, reprisal, intimidation or harassment.

2. Health and Safety

Party B shall understand that, in addition to trying the best to minimize work-related injuries and accidents, establishing a safe and sound working environment can improve the quality of products and services, and be conducive to promoting production, increasing employee retention ratio and improving employee morale. Party B shall also understand that continuously tell employee that it is critical to identify and tackle health and safety issues in the workplace. 

Party B shall be encouraged to implement the health and safety management systems based on the requirements of OHSAS18001, including at least the followings:

1) Conduct and maintain a comprehensive risk assessment;

2) Develop appropriate implementation plans to reduce risk;

3) Develop a health and safety plan, implement it and follow up the completion of it;

4) Establish appropriate systems and processes to monitor any non-compliance;

5) Appoint senior management representatives to ensure a safe and healthy working environment for all employees and to be responsible for implementing the above health and safety requirements.

The health and safety standards are as follows:

2.1 Occupational Safety

Potential safety hazards (e.g., electrical and other energy sources, fire, vehicles, and fall hazards) towards employees shall be controlled through proper design, engineering and administrative controls, preventative maintenance and safe work procedures (including lockout/tag), and ongoing safety training. Where hazards cannot be adequately controlled by these means, employees shall be provided with appropriate and well-maintained personal protective equipment(PPE) and educational materials about risks to them associated with these hazards. Employees shall be encouraged to raise safety concerns.

2.2 Emergency Preparedness

Emergency situations and events shall be identified and assessed, and their impact shall be minimized by implementing emergency plans and response procedures, including: emergency reporting, employee notification and evacuation procedures, employee training and drills, appropriate fire detection and extinguisher, adequate exit facilities and recovery plans. Such plans and procedures shall focus on minimizing harm to life, the environment and property.

2.3 Occupational Injury and Illness

Procedures and systems shall be formulated to prevent, manage, track and report occupational injury and illness, including provisions to: encourage employee reporting; classify and record injury and illness cases; provide medical treatment when necessary; investigate cases and implement corrective actions to eliminate their effects; Do our best to help emplyees to get back to work.

2.4 Industrial Hygiene

Influence of work exposed to chemical, biological and physical agents shall be identified, evaluated, and controlled. Engineering or administrative controls must be used to control over exposures. When hazards cannot be adequately controlled by such means, employee health shall be protected by appropriate personal protective equipment programs.

2.5 Physically Demanding Work

Influence of work exposed to the hazards of physically demanding tasks, including manual material handling and heavy or repetitive lifting, prolonged standing and highly repetitive or forceful assembly tasks shall be identified, evaluated and controlled.

2.6 Machine Safeguarding

Production and other machinery shall be evaluated for safety hazards. Physical guards, interlocks and barriers shall be provided and properly maintained where machinery presents an potential injury hazard to employees.

2.7 Public Health, Catering and Accommodation

Employees shall be provided with ready access to clean toilet facilities, potable water and sanitary food preparation, storage, and diet facilities. Employee dormitories provided by the Party B or a labor agent shall be maintained to be clean and safe, and provided with appropriate emergency egress, hot water for bathing and showering, adequate heating and ventilation, and reasonable personal space along with reasonable entry and exit privileges.

2.8 Health and Safety Communication

Party B shall provide employees with appropriate work place health and safety training in their native language. Health and safety related information shall be clearly posted in the work place.

2.9 Materials and Service Delivery

Materials and service delivery shall comply with the general principles of health, safety and risk prevention. General principles shall include: identifying, reducing and preventing hazards, employing competent and trained personnel, and providing and maintaining safety equipment and tools, including required personal protective equipment.

2.10 Absolute Rules

Party B shall comply with following rules, ensure all personnel to comprehensively understand and comply with them, and supervise the implementation of them.

1) Aerial work

a. Never engage in any aerial work unless properly trained and qualified;

b. Wear the appropriate personal protective equipment during aerial work;

c. Never walk or stand under the lifted objects;

d. Never throw tools or other objects during aerial work.

2) Driving

a. Fasten the safety belt when driving or taking a vehicle;

b. Never use the mobile phone when driving;

c. Never speeding;

d. Never drive while tired.

3) Alcohol or drug

Never work under the influence of alcohol or drugs.

4) Live-line working

Never engage in the live-line working without the corresponding qualification.

3. Environmental Protection

Party B shall realize that the environmental responsibility is an important part in producing world-class products. In manufacturing operations, adverse effects on communities, and environment and natural resources should be minimized, while the public health and safety are protected. Environmental standards are as follows:

3.1 Environmental Permits and Reporting

All required environmental permits (e.g. discharge monitoring), approvals and registrations shall be obtained, maintained and updated. And the related operational and reporting requirements shall be followed. 

3.2 Design of Environmental Protection

Party B shall ensure that appropriate measures are taken to improve the environmental performance of products and services, such as taking into account the energy efficiency and life cycle of the products and/or services supplied during the design phase. Party B shall adopt innovative products and services to provide social and environmental benefits.

3.3 Pollution Prevention and Resources Savings

The use of resources and generation of waste of all types (including water and energy) shall be reduced or eliminated at the source or by practices (such as production modifying, maintenance and facility processes, materials substitution, conservation, materials recycling and re-using).

3.4 Hazardous Substances

Chemicals and other materials posing a hazard if released to the environment shall be identified and controlled to ensure their safe handling, movement, storage, use, recycling or reuse and disposal.

3.5 Wastewater and Solid Waste

Party B shall implement a systematic approach to identify, manage, reduce, and responsibly dispose of or recycle solid waste (non-hazardous). Wastewater generated from operations, industrial processes and sanitation facilities shall be characterized, monitored, controlled and treated as required prior to discharge or disposal. In addition, measures shall be implemented to reduce generation of wastewater. Party B shall conduct routine monitoring of the performance of its wastewater treatment systems.

3.6 Waste Gas Emission

Waste gas emission of volatile organic chemicals, aerosols, corrosives, particulates, ozone depleting chemicals and combustion by-products generated from operations shall be characterized, routinely monitored, controlled and treated as required prior to discharge. Party B shall conduct routine monitoring of the performance of its air emission control systems.

3.7 Materials Restrictions 

Party B shall adhere to all applicable laws, regulations and customer requirements regarding prohibition or restriction of specific substances in products and manufacturing, including labeling for recycling and disposal.

3.8 Storm Water Management

Party B shall implement a systematic approach to prevent contamination of storm water runoff. Party B shall prevent illegal discharges and spills from entering storm drains.

3.9 Energy Consumption and Greenhouse Gas Emission

Party B shall track and document energy consumption and greenhouse gas emissions in the work place/or at corporate level. Meanwhile, Party B shall look for cost effective methods to improve energy efficiency and to minimize their energy consumption and greenhouse gas emissions. 

4. Business Ethics

In order to fulfill its social responsibilities and establish a successful position in the market, Party B shall follow the highest ethical requirements, including:

4.1 Business Integrity

The highest standards of integrity shall be upheld in all business interactions. Party B shall have a zero tolerance policy to prohibit any and all forms of bribery, corruption, extortion and embezzlement. All business dealings shall be transparently performed and accurately reflected on Party B’s business accounts and records. Monitoring and enforcement procedures shall be implemented to ensure compliance with anti-corruption laws.

4.2 No Improper Interests

Bribes or other means of obtaining undue or improper advantage shall not be promised, offered, authorized, given or accepted. This prohibition covers promising, offering, authorizing, giving or accepting anything of value, either directly or indirectly through a third party, in order to obtain or retain business, direct business to any person, or otherwise gain an improper advantage.

4.3 Intellectual Property

Intellectual property rights shall be respected; transfer of technology and know-how shall be done in a manner that protects intellectual property rights; and, customer information shall be safeguarded.

4.4 Equally Trade, Advertising and Competition

Standards of equally trade, advertising and competition shall be upheld. Appropriate means to safeguard customer information must be available.

4.5 Protection of Identity and Non-retaliation

Programs that ensure the confidentiality, anonymity and protection of upstream Party B and employee whistleblowers shall be maintained, unless prohibited by law. Party B shall have a communication process for their personnel to be able to raise any concerns without fear of retaliation. Whistleblower: refers to any person who exposes the misconduct of an employee or officer of a company, or a public service person or official agency.

4.6 Responsible Sourcing of Minerals

 “Conflict Minerals (CM)” it refers to minerals such as tin, tantalum, tungsten and gold originating from the Democratic Republic of the Congo and neighboring countries near by. The sale of these minerals may provide financial support for the ongoing armed conflicts in these countries.

Party B shall have a policy to insist on not purchasing or supporting the use of conflict minerals and requires all suppliers not to purchase conflict minerals. At the same time, Party B shall require suppliers to deliver this requirement to subordinate suppliers and encourage the smeltery supplier to apply CFSI audits.

4.7 Counter-terrorism Security Commitments 

The Party B undertakes to: 1) Establish a written regulation for counter-terrorism security and comply with the security procedures specified in the C-TPAT guidelines; 2) Meet the anti-terrorism security requirements stipulated by Party A; 3) Promptly notify law enforcement agencies of any issues related to counter-terrorism security discovered; 4) Actively cooperate with law enforcement agencies and clients in their supervision and management activities, and promptly correct any non-conformities.

4.8 Privacy

Party B shall commit to protect the reasonable privacy expectations of personal information of everyone involved in the business, including Party B, customers, consumers and employees. Party B shall comply with privacy and information security laws and regulatory requirements when personal information is collected, stored, processed, transmitted, and shared.

5. Management System Requirements

Party B shall adopt or establish a management system whose scope is related to the contents of this agreement. When designing this management system, it shall ensure:

1) Compliance with the laws, regulations and customer requirements related to the operation and materials of Party B;

2) Compliance with this agreement, and identification and mitigate of business risks related to this agreement. This system shall also promote the ongoing improvement.

The management system shall include the following elements:

5.1 Company Commitment 

The corporate social and environmental responsibility policy statement shall clarify Party B’s commitment to compliance and continuous improvement and shall be signed by management, issued in local language and posted in the workplace.

5.2 Management Responsibility

Party B shall clearly designate senior manager and company representatives to be responsible for ensuring the implementation of the management systems and associated programs. Senior managers shall regularly review management system status.

5.3 Legal and Customer Requirements

The procedure used to identify, monitor and understand applicable laws, regulations and customer requirements (including the requirements of this agreement).

5.4 Risk Assessment and Risk Management

The procedure is used to identify legal compliance, environmental, health and safety and labor practice and ethics risks associated with Party B’s operations. Determine the relative significance for each risk and implement appropriate procedural and substantive controls to control the identified risks and ensure regulatory compliance. The areas covered by the environmental health and safety risk assessment shall include: warehouses and storage facilities, factory/workplace support equipment, laboratories and test areas, sanitary facilities (bathrooms), kitchens / inner dining rooms, and employee residences /dormitories.

5.5 Improvement Objectives

Written performance objectives, targets and implementation plans to improve Party B’s social and environmental performance, including a periodic assessment of performance in achieving those objectives.

5.6 Training

Develop programs and provide related training courses for managers and employees to implement Party B’s policies, procedures and improvement objectives and to meet applicable legal and regulatory requirements.

5.7 Communication

A procedure for accurately convey information about Party B's policies, practices, expectations and performance to employees, upstream Party B and customers.

5.8 Employee Feedback and Participation 

A procedure to assess employees’ understanding of practices and conditions covered by this agreement, and obtain feedback and to foster continuous improvement.

5.9 Audits and Assessment

Regularly conduct self-evaluations to ensure compliance with legal and regulatory requirements, the contents of the agreement and customer contractual requirements related to social and environmental responsibilities.

5.10 Corrective Action Process

A procedure for timely correction of deficiencies identified by internal or external evaluations, inspections, investigations and audits.

5.11 Documentation and Records 

Create and maintain documents and records to ensure conformity to legal and regulatory and company requirements along with relevant confidentiality terms for privacy protection.

5.12 Party B’s Responsibilities

A procedure to communicate the requirements of this agreement to the supplier and monitor their compliance.

Article III: This agreement shall be in duplicate, with Party A and Party B holding one. It shall take effect from the date of signing.
